Referral Program Terms & Conditions

Welcome to the Starshipit Referral Program ("Program"). These Terms & Conditions ("Terms") form a legally binding agreement between you ("you" or "Referrer") and ShipIT Limited, a company registered in New Zealand (NZBN: 9429031087889), trading as Starshipit ("Starshipit," "we," or "us") and govern your participation in the Program. By participating, you agree to comply with these Terms.

1. Program Overview

1.1 The Program is designed to reward individuals and businesses who refer new paying customers to Starshipit.

1.2 The Program is open to Starshipit customers, partners, web developers, agencies, and individuals with an interest in recommending Starshipit.

1.3 Referrals and commission payouts are managed through the Impact Advocate platform.

1.4 This Program is non-exclusive. Starshipit may operate other referral or affiliate programs concurrently and may decline participation at its reasonable discretion.

2. Eligibility

2.1 You must be at least 18 years old.

2.2 You must maintain an active Impact Advocate account (defined as having a verified payment method and a functional login profile with current contact details).

2.3 You must not be an employee or immediate family member of a Starshipit employee.

2.4 You may not refer your own business, your employer, or related legal entities.

2.5 Starshipit reserves the right to reject referrals or remove participants at its discretion.

3. Qualified Referrals

3.1 The Referee must be a new Starshipit customer with no prior Starshipit subscription or billing history under the same individual, business entity, or associated legal entity. Starshipit reserves the right to determine in its reasonable discretion whether a referee qualifies as a genuinely new customer.

3.2 The Referee must click your unique referral link and sign up within 120 days.

3.3 The Referee must:

3.3.1 Begin a paid subscription after the standard 30-day free trial.

3.3.2 Remain an active, paying subscriber for at least 62 consecutive days after the free trial.

3.4 Referrals that are self-referrals, duplicate accounts, fraudulent (including fake identities, non-human traffic, bots, or use of anonymising services like VPNs), incomplete, or cancelled will not qualify.

3.5 Eligibility and attribution are determined primarily through the Impact Advocate tracking system, supplemented by Starshipit’s internal records. Manual or retrospective attribution requests will not be accepted.

3.6 Starshipit will not mediate disputes between Referrers and Referees.

4. Referral Rewards

4.1 Referrers will receive the following rewards based on the referred customer's ARR:

4.1.1 AUD $100 for Starter/Starter Plus plans under AUD 1,681

4.1.2 AUD $200 for Professional/Professional Plus plans from AUD 1,681 to AUD 3,600 (inclusive)

4.1.3 AUD $500 for Enterprise/Enterprise Plus plans of AUD 3,601 or more

4.2 Rewards are issued in AUD via the Impact platform.

4.3 You are responsible for any applicable taxes on your earnings.

5. Referred Customer Benefit

5.1 Referees who sign up via a referral link will receive two months free, including the standard 30-day free trial and one additional free month.

5.2 This offer is only available to Referees who choose a standard month-to-month subscription billing plan.

5.3 This offer is limited to one redemption per customer or company.

5.4 Starshipit may deny or revoke the benefit at its reasonable discretion, including for suspected abuse or repeat claims.

5.5 To access the offer, the Referee must complete the 30-day trial and convert to a paid subscription.

6. Payment Terms and Volume Controls

6.1 Payments are processed through Impact Advocate.

6.2 Starshipit uses the Impact Advocate platform to manage tracking and rewards. Delays or discrepancies beyond Starshipit's control may occur.

6.3 Rewards are locked after the 62-day qualification period.

6.4 Payments are issued monthly after verification, typically within 30 business days following the end of each Calendar Month.

6.5 Starshipit may reverse or withhold payments for invalid, disputed, or fraudulent referrals.

6.6 Starshipit is not responsible for payment delays due to platform issues, incomplete Referrer details, or force majeure events.

6.7 Payments are only made after all verification steps are complete.

6.8 If the Referrer fails to provide valid payment details within 6 months, the reward may be forfeited.

6.9 Starshipit may audit referral activity and suspend payments during investigation.

6.10 Starshipit may cap or stagger large payout volumes for administrative purposes, with prior notice.

6.11 Starshipit may deny or withhold referral rewards at its reasonable discretion.

7. Referrer Obligations, Legal Compliance and Indemnity

7.1 You agree to:

7.1.1 Promote Starshipit honestly and legally.

7.1.2 Comply with relevant laws including the CAN-SPAM Act, GDPR, and Australia's Spam Act.

7.1.3 Not use bots, click farms, VPNs, or deceptive practices to simulate signups.

7.1.4 Not offer unapproved cash or incentives.

7.1.5 Ensure your promotional activity does not violate third-party rights.

7.2 Indemnity: You agree to defend and indemnify Starshipit for any claims arising from your breach of these Terms.

7.3 This Program does not create an employment, agency, or partnership relationship.

8. Prohibited Conduct

8.1 You may not:

8.1.1 Share your referral link on coupon/deal sites, directories, or paid ads without written consent.

8.1.2 Engage in self-referrals or incentivised signups.

8.1.3 Misrepresent your relationship with Starshipit.

8.1.4 Use misleading or unethical tactics.

8.1.5 Bid on Starshipit-branded keywords or impersonate the brand.

8.1.6 Post links on Starshipit's official channels.

8.2 Violation may result in immediate disqualification and loss of rewards.

9. Disclosure Requirements

9.1 You must disclose the nature of your referral in all communications.

Example: “This is a referral link. I may earn a reward if you sign up.”

9.2 You are responsible for compliance with all applicable disclosure laws.

10. Program Changes, Dispute Resolution and Termination

10.1 Starshipit may update or end this Program with 7 days' notice.

10.2 Changes will be communicated via email or platform update.

10.3 Continued participation indicates acceptance of any changes.

10.4 In the event of a dispute, parties must first attempt good-faith resolution.

10.5 If unresolved, legal proceedings may be initiated in New Zealand.

10.6 Accounts with no Qualified Referrals for 12 months may be deactivated.

10.7 Starshipit may terminate your participation at any time with or without cause.

11. Intellectual Property, Data Use and Marketing Consent

11.1 All Starshipit brand IP remains the property of Starshipit.

11.2 Participant data is governed by Starshipit’s Privacy Policy and Impact’s data terms.

11.3 By participating, you consent to being named in promotional materials unless you opt out by contacting marketing@starshipit.com.

12. Limitation of Liability and Force Majeure

12.1 Starshipit is not liable for indirect, incidental, or consequential damages.

12.2 Starshipit is not liable for delays caused by events outside its control, including:

12.2.1 Natural disasters (e.g., earthquakes, floods)

12.2.2 Infrastructure outages (e.g., internet/power failures)

12.2.3 Cyberattacks

12.2.4 Government restrictions

12.3 Starshipit's total liability will not exceed the rewards paid to you in the prior six months.

13. Governing Law, Jurisdiction and Severability

13.1 This agreement is governed by the laws of New Zealand.

13.2 You submit to the exclusive jurisdiction of New Zealand courts.

13.3 If any clause is deemed invalid, the rest of the Terms will remain effective.

14. Glossary

14.1 Impact Advocate: The platform used by Starshipit to track and process referrals.

14.2 Customer: A user with an active paid subscription following a trial. Excludes trial users and reactivated accounts.

14.3 New Customer: A user with no prior paid Starshipit account under related details or entities.

14.4 ARR: Annual Recurring Revenue calculated based on the subscription value to ShipIT Limited.

14.5 Paid Subscription: A Starshipit plan with billing activated immediately following completion of the free trial period.

14.6 Referrer: The person or business referring new customers.

14.7 Referee: The new customer being referred.

14.8 Qualified Referral: A referral that meets all requirements outlined in Section 3.
